Thanks for using Sozee! Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using http://www.sqrip.com (the "Service") operated by "us", "we" or "our".
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
Our Service allows you to post, store, share and otherwise make available certain APIs, documentation, comments, or other material ("Content") and to share your Content with others. You retain ownership of your Content, but there are many things that users may do with your Content, for example, copy it, modify it, re-share it, or broadcast it. Sozee has no responsibility for that activity. You are responsible for a proper use of the configurable permission policies exposing your documentation to the appropiated users with the right permissions in each case. Please think carefully about what you share. Sozee shall not be responsible or liable for any loss or damage of any kind incurred as a result of a wrong use of that permission policies.
We need your permission to host your documentation, backing it up, and sharing it when you ask us to. These and other features may require our systems to access, store and scan your documentation. You give us permission to do those things, and this permission extends to our affiliates and trusted third parties we work with.
In order to access our Resources, you may be required to provide certain information about yourself.
You are responsible for maintaining the confidentiality of any login information associated with any account you use to access our Resources. Please safeguard your password to the Services, make sure that others don't have access to it, and keep your account information current.
Your are responsable of backing-up your data periodically. Sozee preserves internal backup services to provide a secure environment against unpredicted system issues but we have no obligation to support personal backups to you. Sozee provides Import/Export utilities to secure your data againts vandalism, negligence or any other issues caused by you or users who do you trust.
Accessing (or attempting to access) any of our Resources by any means other than through the means we provide, is strictly prohibited. You specifically agree not to access (or attempt to access) any of our Resources through any automated, unethical or unconventional means.
Engaging in any activity that disrupts or interferes with our Resources, including the servers and/or networks to which our Resources are located or connected, is strictly prohibited.
Attempting to copy, duplicate, reproduce, sell, trade, or resell our Resources is strictly prohibited.
You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.
You're responsible for your conduct, your data and your discussion comments. Content in the Service may be protected by others' intellectual property rights. Please don't copy, upload, download or share content unless you have the right to do so.
We have no obligation to review your conduct nor your content. Although we are not responsible for the content people posts, Sozee reserves the rights to terminate an user account based on the breach of these the Terms of Use.
Our Service may contain links to third¬party web sites or services that are not owned or controlled by us. We has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that us shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.
General Billing Terms.
You can upgrade the basic plan and add paid features to your account (turning your account into a "Paid Account"). We'll automatically redirect you to the recurring payment service (“Chargebee” and "Braintree") to perform your initial configuration. You will be charged on each periodic renewal until cancellation.
All subscriptions paid through these third party (“Chargebee” and "Braintree") are subject to the third party’s Terms of Service and Privacy Policy, and we will not be responsible for anything contained therein. You are responsible for payment of any sales or use taxes associated with the Fees or your use of the Site.
Payment for Subscription
For all non-free account types, payment occurs on a pre-pay basis and payment will be automatically renewed for the next term, at the end of each term. The amount you are to pay will depend upon which account type you choose. If you choose to cancel a recurring payment, you should cancel your account prior to the next billing term. If you decide not to purchase an additional month/year of service, your account will be suspended and you will have the option of converting to a SQRIP FREE account type subject to the limitations of a SQRIP account. Downgrading a purchased account may block exceded users from new account quota and paid features could partial or completely blocked. Any user data associted to Premium features will not be held and you could get back at any moment.
Fraud Protections
To protect against potential fraud, “Chargebee” and "Braintree" may take steps to verify the validity of the credit card information you provide us with. The verification process may include debiting an amount between $0.01 and $0.99 from your credit card account and then immediately crediting the same amount back to your credit card, as well as asking you to verify the amount debited in order to confirm that you are in possession of your credit card. Sozee will only use this process to screen for fraud and will not otherwise debit your credit card account, except as part of a transaction conducted through your account for the Sozee website of Sozee service. By providing Sozee with your credit card information, you authorize Sozee to debit and credit your credit card account for an amount less than one dollar for such verification purposes.
No Refunds
You may cancel your Sozee Paid Account at any time but you won't be issued a refund unless it's legally required. If you cancel your reccurring payment option, your account will remain active until the next renewal date. If you delete your account before the end of the term for which you paid, your cancellation will take effect immediately. In either case (cancellation or deletion), you will not be given any refund.
Downgrades
Your Paid Account will remain in effect until it's cancelled or terminated under these Terms end new downgraded plan will be applied for next billing periods (if a non free downgraded plan is choosen). If you don't pay for your Paid Account on time, we reserve the right to suspend it or reduce your features to free account levels.
Changes
You can change freely from one plan to another taking into account the following considerations:
You're free to stop using our Services at any time. We also reserve the right to suspend or end the Services at any time at our discretion and without notice. For example, we may suspend or terminate your use of the Services if you're not complying with these Terms, or use the Services in a manner that would cause us legal liability, disrupt the Services or disrupt others' use of the Services. Except for Paid Accounts, we reserve the right to terminate and delete your account if you haven't accessed our Services for 12 consecutive months. We'll of course provide you with notice via the email address associated with your account before we do so.
We strive to provide great Services, but there are certain things that we can't guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS." WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some places don't allow the disclaimers in this paragraph, so they may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, EXCEPT FOR ANY LIABILITY FOR WE OR OUR AFFILIATES’ FRAUD, FRAUDULENT MISREPRESENTATION, OR GROSS NEGLIGENCE, IN NO EVENT WILL WE, OUR AFFILIATES, SUPPLIERS OR DISTRIBUTORS BE LIABLE FOR:
(A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR
(B) ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY.
THIS WILL BE REGARDLESS OF WHETHER OR NOT WE OR ANY OF OUR AFFILIATES HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
ADDITIONALLY, WE, OUR AFFILIATES, SUPPLIERS AND DISTRIBUTORS WILL NOT BE LIABLE FOR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES FOR MORE THAN THE GREATER OF $20 OR THE AMOUNTS PAID BY YOU TO WE FOR THE PAST 12 MONTHS OF THE SERVICES IN QUESTION.
Some places don't allow the types of limitations in this paragraph, so they may not apply to you.
UNLESS OTHERWISE EXPRESSED, SQRIP EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
These Terms will be governed by Spanish law except for its conflicts of laws principles, unless otherwise required by a mandatory law of any other jurisdiction.
The Site and its original content, features and functionality are owned by My Company and are protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. Nothing in the Terms grants you a right or license to use any trade mark, design right or copyright owned by SQRIP or any other third party except as expressly provided in the Terms.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
